Agreement and operator

These Terms govern your use of LastMinuteFlowers.com, operated by Ciarán Paul Roche in Pennsylvania, United States. By using the site, you agree to these Terms. If you do not agree, do not use the site. Questions may be sent to CiaranPaulRoche@gmail.com.

What the site provides

The site provides a curated shortlist, original general commentary and links to products or categories offered by external merchants. It does not provide professional advice, live inventory, real-time delivery verification, a price guarantee or an individualized recommendation. A listing is a shopping shortcut, not a promise that a product, florist or delivery date is available or suitable.

No flower sale or agency relationship

LastMinuteFlowers.com is not a florist, seller, marketplace, delivery service, payment processor, broker or agent for any florist or merchant. It does not accept, fulfill, alter, cancel, refund or service orders. Any purchase is solely between you and the merchant identified on the external site or at checkout, under that merchant’s prices, policies, terms and privacy notice.

Your responsibility before ordering

You are responsible for confirming the recipient’s details, product description, total price, fees, delivery date, geographic eligibility, cut-off time, substitution policy, refund policy and merchant identity before placing an order. Keep the merchant’s receipt. Contact the merchant named on that receipt about payment, delivery, cancellation, refund or product concerns.

External and affiliate links

Product links are affiliate links. When clearly identified, a qualifying purchase may generate compensation for Last Minute Flowers at no extra cost to you. I do not control every external statement, product, price, practice or availability. External links may change, fail or lead to content that differs from what was available when the link was reviewed.

No delivery, product or outcome guarantee

Delivery dates, cut-off times, product images, flower varieties, colors, sizes, prices and availability can change. Seasonal and local substitutions are common. To the maximum extent permitted by law, the site makes no warranty that an external merchant will accept an order, deliver on time, match a photograph, use specified flowers, satisfy a recipient or provide a refund.

Acceptable use

You may use the site for personal, lawful purposes. You may not interfere with its operation, probe or bypass security, introduce malicious code, scrape it in a manner that burdens the service, misrepresent its content or use it to violate another person’s privacy, intellectual-property rights or other legal rights.

Intellectual property

Except for identified third-party material, the site’s original design, copy, code and branding are owned by or licensed to Ciarán Paul Roche. Third-party product names, trademarks and images remain the property of their respective owners and are displayed for product identification under permission, licence or applicable law. Limited personal use is permitted; no trademark licence, resale right or right to reproduce a substantial part of the site is granted.

Disclaimers

To the maximum extent permitted by law, the site and its content are provided “as is” and “as available,” without express or implied warranties, including warranties of accuracy, availability, merchantability, fitness for a particular purpose and non-infringement. Nothing excludes a warranty or right that applicable law does not permit to be excluded.

Limitation of liability

To the maximum extent permitted by law, Ciarán Paul Roche will not be liable for indirect, incidental, special, consequential, exemplary or punitive loss, lost profits, lost data, emotional distress, missed occasions, delivery failure, substitutions, merchant conduct or reliance on site content. For a claim arising solely from this site, aggregate liability will not exceed US $100. This limitation does not apply where liability cannot lawfully be limited, including liability for fraud, willful misconduct or other non-waivable matters.

Indemnity

To the extent permitted by law, you agree to defend, indemnify and hold harmless Ciarán Paul Roche from third-party claims, losses and reasonable costs arising from your unlawful misuse of the site, your violation of these Terms or your infringement of another person’s rights. This does not require indemnification for conduct for which indemnification cannot lawfully be required.

Governing law and disputes

These Terms are governed by the laws of the Commonwealth of Pennsylvania and applicable United States federal law, without regard to conflict-of-law rules. Subject to non-waivable rights and jurisdiction rules that apply where you live, any claim relating to the site must be brought in a court of competent jurisdiction located in Delaware County, Pennsylvania. Before filing, the parties should make a good-faith effort to resolve the matter by written notice.

General terms

If part of these Terms is held unenforceable, it will be enforced to the lawful maximum and the remaining provisions will continue. Failure to enforce a provision is not a waiver. These Terms and incorporated notices are the entire agreement concerning this site. They may be updated by posting a revised version and effective date.
